TERMS AND CONDITIONS
1. Services
1.1 These terms & conditions constitute a valid and binding agreement between Karisma Kawol and you, The Client for any services provided. Proof of agreement by a confirmation email or other methods you, The Client is happy to go ahead with the project.
1.2 Project Completion. All Deliverables shall be deemed complete once you, The Client has signed off the Deliverable or indicated satisfaction either verbally, in writing, via e-mail, post or other another method.
1.3 For any reason any amends/changes after the project is confirmed/signed off outside the scope of the Services there will be an additional charge of the standard hourly rate.
1.4 If you, The Client requests a substantive change which requires fifty percent of the time of revision after the project was confirmed and agreed, then Karisma Kawol shall provide a separate new proposal to you, The Client for approval. The project will not commence until there is a form of written agreement between you, The Client and Karisma Kawol via confirmation email or other methods.
2. Quote
2.1 If a quote has been provided and confirmed by The Client, however later additional work is required or the scope of the project changes, an additional charge will apply.
2.2 The project includes costs for Karisma Kawol’s service only, fee agreed with you, The Client. Additional costs including, but not limited to, stock imagery, licenses, props/equipment, web fees e.g. hosting, domain name will be billed to you, the client unless specifically otherwise provided for in the project proposal.
3. Fee and Payment Terms
3.1 The Client/Supplier shall make a bank transfer or cheque payable to Karisma Kawol
3.2 A deposit of 50% of the total agreed price is required before the project can commence, and balance on completion unless stated otherwise by Karisma Kawol.
3.3 Karisma Kawol reserves the right to withhold delivery and any transfer of ownership of any current work if accounts are not current or overdue invoices are not paid in full.
3.4 All invoices are payable within 10 days of receipt.
4. Client Responsibilities
4.1 The client is responsible for performing the following below in a timely and reasonable manner:
- Providing the copy/text to be used in the deliverables without any further preparation, unless expressed by Karisma Kawol
- Providing images which is paid (stock imagery) or you, The Client has the copyright too
- Coordination of any decision-making with parties other than Karisma Kawol
4.2 You, The Client, agree the text/copy supplied has not been extracted/copied from a third party source
4.3 The Client will proof read and approve the deliverables by way of example, not limitation, typographic errors or misspellings, remain in the finished product, The Client shall incur the cost of amending any errors.
5. Promotion and Accreditation
5.1 Karisma Kawol retains the rights to reproduce, publish and display the projects Deliverables on her website, social media platforms and any other media for the purposes of recognition of creativity and showcase to potential clients.
5.2 With permission of you, The client I will request to provide where relevant accreditation either by a link to my website www.karizmatic.co.uk for online projects or “Designed by karizmatic.co.uk” for printed or social media Deliverables.
6. Confidential Information
6.1 All information provided by you, The Client will be held in strictest confidence by Karisma Kawol
7. Relationship between Parties
7.1 Karisma Kawol is an independent contractor and is providing a service upon the general direction of you, The Client.
7.2 The parties expressly acknowledge that this Agreement does not create an exclusive relationship between the parties. Karisma Kawol is free to engage and provide Deliverables with other Clients which are similar in nature to you, The Client.
7.3 Karisma Kawol will provide the appropriate and relevant advice best to her knowledge and understanding based on you, The Client, direction.
